1. General Overview

These Terms apply to all users, clients, visitors, and customers accessing or utilizing our digital services, software, or products.

2. Nature of Services

All services provided by KZ Solutions LLC are digital in nature. Deliverables (designs, software, reports, documents, or consultations) are delivered electronically via cloud drives, email, or secure download links.

Fulfillment Timeline:
Orders are typically completed within 1–7 business days from payment confirmation unless otherwise stated in a written contract or proposal.

3. Intellectual Property & Use of Materials

All materials, code, designs, content, graphics, and data structures provided by KZ Solutions LLC are proprietary and protected by U.S. and international copyright laws.

You are not permitted to:

• Copy, resell, or redistribute any content or design.
• Reverse-engineer or modify any source code or software.
• Create derivative works without written authorization.
• Use our intellectual property for commercial resale or reproduction.

Violation of this policy may result in legal action, including civil damages and injunctive relief.

4. Confidentiality & Security

You are responsible for maintaining the confidentiality of all credentials, access keys, and sensitive information provided by KZ Solutions LLC.

• Do not share login credentials, files, or secured data with third parties without our written consent.
• You assume full responsibility for any activity conducted under your authorized credentials.

5. Acceptable Use Policy

Clients agree not to use our services or platforms to:

• Engage in fraud, abuse, or deceptive conduct.
• Upload viruses, malware, or attempt unauthorized access to servers.
• Violate intellectual property or data protection laws.
• Harass, threaten, or defame KZ Solutions LLC or its personnel.

We reserve the right to suspend or terminate access to our systems or services immediately for violations, with or without notice.

6. Refund & Return Policy

Refund Eligibility:

• Only digital products explicitly marked as refundable qualify for a refund within 30 days of purchase.
• Custom work (branding, web design, development, consulting, or coaching) is non-refundable once initiated.

Non-Refundable Items Include:

• Custom or proprietary software
• Beta programs or testing access
• One-on-one strategy sessions
• Seminar or webinar participation
• Any digital service once work has begun

All refund requests must be made in writing to support@kzsolutionsllc.com with a valid explanation.

7. Disclaimer of Warranties

All services and materials are provided on an “as-is” and “as-available” basis. KZ Solutions LLC disclaims all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Uptime or performance guarantees
• Freedom from viruses or system errors

We make no representations that services will be uninterrupted, error-free, or fully secure.

8. Limitation of Liability

KZ Solutions LLC shall not be liable for any indirect, incidental, consequential, or special damages, including:

• Lost revenue or profit
• Business interruption or downtime
• Data loss or corruption
• Delay in service delivery

Total liability shall not exceed the amount paid by you for the specific service within the 30 days prior to your claim.

9. Legal Jurisdiction

These Terms are governed by the laws of the State of Michigan and the United States of America, without regard to conflicts of law.
All disputes must be brought exclusively before the state or federal courts in Michigan, USA.
KZ Solutions LLC retains the right to pursue equitable or injunctive relief for violations of its intellectual property or contractual rights.

10. Arbitration Clause

For disputes not involving intellectual property:

• Both parties agree to attempt informal resolution first.
• Unresolved matters shall proceed to binding arbitration in Michigan, USA, following the rules of the American Arbitration Association (AAA).
• The arbitrator’s decision shall be final and binding.
• Class actions and collective arbitration are strictly prohibited.

11. Modifications to Terms

KZ Solutions LLC may revise or update these Terms at any time without notice. It is your responsibility to review them periodically. Continued use of our services constitutes acceptance of all updates.

12. Termination of Agreement

This Agreement remains effective until terminated by either party.

• You may terminate by ceasing use of our services and destroying all materials obtained.
• KZ Solutions LLC may suspend or terminate service access without notice for any breach or unlawful conduct.

13. Entire Agreement

These Terms, along with any executed contracts, proposals, or order confirmations, represent the entire agreement between you and KZ Solutions LLC. No oral or external communications supersede this document unless formally amended in writing.

14. Severability

If any provision of these Terms is held invalid by a court, all remaining provisions shall remain enforceable and in full effect.
